1. Introduction

Welcome to Roma Intelligence ("Roma Intelligence", "we", "our", or "us"). These Terms of Service ("Terms") constitute a legally binding agreement between Roma Intelligence and every individual or entity ("User", "you", or "your") who accesses or uses our website, mobile application, APIs, research marketplace, data collection tools, dashboards, analytics platform, or any related services (collectively, the "Platform").

Roma Intelligence provides a technology-enabled platform that connects researchers, organizations, institutions, businesses and eligible participants for the purpose of conducting surveys, market research, opinion polling, academic studies, customer insight projects, and data analytics.

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood and agree to be legally bound by these Terms, our Privacy Notice, Cookie Policy and any other policies incorporated by reference.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

2. Eligibility

To use the Platform, you represent and warrant that:

  • you are at least eighteen (18) years of age;
  • you possess the legal capacity to enter into binding contracts under Nigerian law;
  • all information supplied during registration is accurate and complete;
  • you will comply with all applicable laws and regulations.

When you register on behalf of an organisation, institution, university, government agency or company, you represent that you have full authority to bind that organisation to these Terms. Roma Intelligence may request documentary evidence of authority where necessary.

3. Account Registration and Security

Users must register an account before accessing certain Platform features. Upon registering an account, you agree to:

  • provide accurate and complete registration information;
  • promptly update inaccurate or outdated information;
  • maintain the confidentiality of your login credentials;
  • immediately notify Roma Intelligence of any unauthorized access;
  • ensure that your account is not shared with third parties.

Roma Intelligence reserves the right to verify user identity through lawful verification mechanisms including government-issued identification, National Identification Number (NIN), Corporate Affairs Commission (CAC) records or other legally permissible verification systems.

Enforcement Action:

Where false, misleading or fraudulent information is detected, Roma Intelligence may: (i) suspend or terminate the account; (ii) withhold pending payments; (iii) report fraudulent activities to relevant regulatory or law enforcement authorities where legally required.

Users remain solely responsible for activities conducted through their accounts.

4. Researcher Obligations

Researchers using the Platform agree to:

  • comply with the Nigeria Data Protection Act, 2023 and all applicable data protection regulations;
  • ensure every research project has a lawful basis for processing personal data;
  • obtain informed consent where consent is the lawful basis for processing;
  • process only data necessary for the stated research purpose;
  • adopt appropriate technical and organizational measures to protect participant information;
  • maintain confidentiality of participant information;
  • avoid collecting excessive or irrelevant personal information;
  • comply with all applicable ethical review requirements for academic or institutional research;
  • refrain from using participant information for purposes outside the approved research scope without obtaining additional lawful authorization.
Strict Restrictions — Researchers shall not:

request passwords, banking PINs, biometric information (except where expressly approved by Roma Intelligence and permitted by law), political profiling for unlawful purposes, children's data without all legally required safeguards and consents, or any category of personal data prohibited by applicable law.

Researchers acknowledge that they are independent data controllers in respect of the personal data collected through their research projects where they determine the purpose and means of processing.

5. Participant Obligations

Participants agree to:

  • provide truthful and accurate responses;
  • complete surveys in good faith;
  • avoid duplicate submissions;
  • refrain from manipulating incentives;
  • avoid using automated systems or bots to complete research tasks.

Roma Intelligence may employ fraud detection systems including behavioural analytics, device fingerprinting and algorithmic verification to preserve research integrity. Where fraudulent participation is detected, Roma Intelligence may reject responses, withhold incentives, suspend the participant account, or permanently ban the participant from future participation.

6. Privacy and Data Protection

Roma Intelligence is committed to protecting personal data in accordance with the Nigeria Data Protection Act, 2023, subsidiary regulations, and internationally recognised privacy principles where applicable.

7. Data Subject Rights

Subject to applicable law, individuals whose personal data is processed through the Platform may exercise their rights under the Nigeria Data Protection Act, including the right to:

Be informed about data processing
Access personal data
Request correction of inaccurate info
Request deletion where permissible
Restrict processing
Object to processing
Withdraw consent at any time
Request data portability
Lodge complaints with NDPC

Requests may be submitted through Roma Intelligence's designated privacy contact. Roma Intelligence reserves the right to verify identity before fulfilling any request.

8. Data Retention

Personal data shall be retained only for as long as reasonably necessary to: (i) complete research projects; (ii) fulfil contractual obligations; (iii) comply with legal or regulatory requirements; (iv) resolve disputes; (v) enforce these Terms.

Following expiration of applicable retention periods, personal data shall be securely deleted, anonymised or archived in accordance with applicable law.

9. Cross-Border Data Transfers

Where personal data is transferred outside Nigeria, Roma Intelligence shall ensure that such transfers comply with the Nigeria Data Protection Act.

10. Platform Fees and Payments

Unless otherwise agreed in writing:

  • all payments shall be denominated in Nigerian Naira (₦);
  • Roma Intelligence shall charge platform service fees;
  • applicable taxes may be deducted where required by law;
  • payment schedules shall be disclosed before project commencement.

Roma Intelligence may suspend projects where payment obligations are outstanding.

11. Escrow and Participant Incentives

Participant incentives are held in a secure escrow account pending successful completion and verification of research milestones. Roma Intelligence reserves the right to:

  • delay payments pending fraud review;
  • reverse payments made in error;
  • recover incentives obtained through fraudulent conduct.

12. Intellectual Property

All intellectual property rights in the Platform, including software, source code, databases, trademarks, logos, interfaces, algorithms, dashboards, graphics and documentation remain the exclusive property of Roma Intelligence or its licensors.

Researchers retain ownership of original questionnaires, methodologies and research instruments they upload.

Participants retain ownership of their personal information but grant Roma Intelligence and the applicable researcher a limited, non-exclusive licence to process their submitted responses solely for the authorised research purposes.

No ownership rights are transferred by use of the Platform.

13. Confidentiality

Users agree to keep confidential all non-public information obtained through the Platform. Participants shall not disclose confidential research materials. Researchers shall not disclose participant identities except where legally authorised or required. These obligations survive termination of these Terms.

14. Prohibited Conduct

Users shall not:

Scrape Platform data without authorization
Reverse engineer Platform software
Attempt to re-identify anonymised participants
Upload malware or malicious payloads
Interfere with Platform security infrastructure
Impersonate another individual or entity
Conduct illegal research or prohibited surveys
Violate third-party intellectual property rights
Disseminate misinformation using Platform data
Use automated bots except through approved APIs
Circumvent Platform security measures

Roma Intelligence reserves the right to investigate violations and cooperate with law enforcement agencies where appropriate.

15. Suspension and Termination

Roma Intelligence may suspend or terminate access immediately where: (i) these Terms are breached; (ii) fraudulent activity is detected; (iii) unlawful conduct is suspected; (iv) required by law; (v) necessary to protect Platform integrity.

Termination does not affect accrued rights or obligations.

16. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis. Roma Intelligence does not warrant that:

  • the Platform will be uninterrupted;
  • research outcomes will meet expectations;
  • the Platform will always be error-free;
  • third-party integrations will remain continuously available.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ROMA INTELLIGENCE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, GOODWILL, BUSINESS OPPORTUNITIES, RESEARCH OPPORTUNITIES OR DATA, ARISING FROM OR RELATED TO THE USE OF THE PLATFORM.

18. Indemnity

You agree to indemnify and hold harmless Roma Intelligence, its officers, employees, affiliates and agents from any claims, liabilities, losses, damages, costs and expenses arising from: (i) your breach of these Terms; (ii) your misuse of the Platform; (iii) violation of applicable law; (iv) infringement of third-party rights.

19. Dispute Resolution

The parties shall first seek to resolve disputes amicably through good-faith negotiations.

Where negotiations fail, the dispute shall be submitted to mediation in Lagos State. If mediation is unsuccessful within thirty (30) days, the dispute shall be finally resolved by arbitration under the Rules of the Lagos Court of Arbitration.

Arbitral Tribunal: One (1) arbitrator unless otherwise agreed.

Language of Arbitration: English.

Seat of Arbitration: Lagos, Nigeria.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

21. Changes to these Terms

Roma Intelligence reserves the right to amend these Terms from time to time. Material amendments shall be communicated through the Platform, email notifications or other appropriate communication channels at least thirty (30) days before becoming effective where reasonably practicable.

Continued use of the Platform following the effective date constitutes acceptance of the revised Terms.
